1. Overview
This website (the “Site”) is operated by All Athletes Club (“All Athletes Club,” “we,” “us,” or “our”). By accessing the Site or purchasing from us, you (“you” or the “user”) agree to these Terms of Service (“Terms”), our Privacy Policy, and any additional terms referenced here or presented at checkout. If you do not agree, do not use the Site.
We may update these Terms at any time by posting a revised version on this page. Your continued use of the Site after changes are posted means you accept the updated Terms.
2. Eligibility; Your Account
By using the Site, you represent that you are at least the age of majority in your state of residence, or you have parental/guardian consent to use the Site. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We may refuse service, close accounts, or cancel orders at our discretion.
3. Online Store Terms
You agree not to use the Site for any unlawful purpose or to violate any applicable laws or regulations. You will not transmit any viruses, malware, or destructive code. A breach of these Terms may result in suspension or termination of your access.
4. Product Information; Availability; Colors
All Athletes Club makes every effort to ensure that the products, descriptions/specifications, images, pricing, and availability information displayed on our Site are accurate and current. However, we do not warrant or guarantee that all such information is error-free, complete, or current at all times.
We reserve the right, without prior notice, to:
- Correct any errors, inaccuracies, or omissions;
- Change or update product descriptions/specifications, images, pricing, or availability;
- Change or discontinue any product, style, or service at any time; and
- Cancel or refuse any order placed for a product listed with an incorrect price or description, even after the order has been submitted or payment has been processed.
Product colors and finishes may appear differently depending on your device settings, lighting, or display quality. We cannot guarantee that your screen accurately reflects the true color or texture of any item.
Certain products may be available exclusively online and may have limited quantities, subject to availability. The inclusion of any product or service on the Site at a particular time does not imply or guarantee that it will be available at any later time.
5. Pricing; Promotions; Errors
All prices listed on the Site are in U.S. dollars (USD) and are subject to change at any time without notice. Prices displayed at checkout reflect the price in effect at that moment.
All Athletes Club reserves the right, at its sole discretion, to:
- Correct any typographical, pricing, or display errors;
- Modify, suspend, or terminate any promotion, discount, or offer at any time;
- Limit promotional eligibility or quantities; and
- Refuse or cancel any order placed for products listed with incorrect information, even after an order has been submitted or payment has been processed.
If a pricing or listing error is discovered after payment, we will promptly notify you and issue a full refund to your original payment method. Promotions and discount codes may carry their own terms and conditions and cannot be applied retroactively or combined with other offers unless explicitly stated.
The inclusion of a product, promotion, or offer on our Site does not guarantee its availability or ongoing offer.
6. Orders; Acceptance; Shipping
Your submission of an order constitutes an offer to purchase, not a binding contract. All Athletes Club reserves the right to accept, reject, limit, or cancel any order at its sole discretion, including but not limited to, cases involving:
- Suspected fraud, resellers, or bulk purchasers;
- Orders using the same billing, shipping, or payment information; or
- Products that are unavailable, discontinued, or mispriced.
An email order confirmation only acknowledges receipt and does not signify acceptance of your order. Your order is deemed accepted only when it has been processed, packaged, and shipped. We reserve the right to verify information or require additional authorization before processing or accepting an order.
Title and risk of loss transfer to you once your order is delivered to the carrier. After shipment, All Athletes Club is not responsible for delays, damage, or loss caused by shipping carriers or events outside our control, including customs inspections, weather, or other force majeure circumstances.
Any shipping or delivery timelines provided are estimates only and are not guaranteed. Carrier delays, customs inspections, weather, or other unforeseen factors may affect actual delivery times.
For detailed information regarding delivery timelines, shipping methods, and risk of loss, please refer to our Shipping Policy, which is hereby incorporated into these Terms by reference and forms an integral part of them.
7. Payment Methods, Taxes, and Chargebacks
A. Accepted Payment Methods
All Athletes Club accepts payments through Shopify Payments and other authorized third-party processors, which may include major credit cards, debit cards, PayPal, Apple Pay, and other secure payment options displayed at checkout. By submitting your payment information, you represent and warrant that you are authorized to use the payment method provided and that all billing information is accurate, complete, and current.
We reserve the right to refuse or cancel any order if payment authorization is declined or if we suspect fraud, unauthorized use, or payment irregularities. All payments are processed securely through our third-party providers. All Athletes Club does not store or retain full credit card numbers or payment data.
B. Taxes
All prices shown on the Site are exclusive of applicable sales and use taxes, which will be calculated and displayed at checkout based on your shipping address and applicable tax laws. You are responsible for all taxes, duties, and fees imposed by governmental authorities or otherwise.
C. Chargebacks and Payment Disputes
Submitting a chargeback or payment dispute without first contacting our support team to attempt resolution is a breach of these Terms. We take fraudulent chargebacks seriously and reserve the right to dispute any chargeback claim and provide supporting documentation to the payment processor, bank, or credit card issuer.
If a chargeback or reversal is initiated for a valid transaction, All Athletes Club reserves the right to:
· Suspend or terminate your account or future purchasing privileges;
· Recover the disputed amount and any associated costs or fees; and
· Pursue collection or legal action to recover losses, including reasonable attorneys’ fees and costs.
We encourage all customers to contact us at info@thebaseballclub.net to resolve billing or payment issues before initiating any dispute with their bank or card issuer.
8. Returns; Exchanges; Refunds
Returns, exchanges, and refunds are governed by our Refund & Return Policy, which is incorporated into these Terms by reference. Please review it carefully before purchasing. Promotional discounts, codes, or credits applied to an order cannot be reissued or transferred once the order has been processed or canceled.
9. Third-Party Services; Links
The Site may use or link to third-party tools and services (e.g., payments, analytics, marketing). We do not control and are not responsible for third-party content, policies, or practices. Your use of any third-party service is at your own risk and may be subject to that provider’s terms.
10. User Content; Reviews; Feedback
If you submit reviews, photos, comments, suggestions, or other content (“User Content”), you grant All Athletes Club a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from such content in any media for marketing, promotional, or operational purposes. You represent that you own or control the rights to your User Content, it is accurate, and it does not infringe any third-party rights or contain unlawful, abusive, or obscene material. We may monitor, edit, or remove User Content at our discretion but are not obligated to do so.
11. Intellectual Property
All content on the Site such as text, graphics, logos, product names, and software is owned by or licensed to All Athletes Club and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.
12. Acceptable Use
You agree not to:
- Use the Site for unlawful purposes;
- Infringe our or others’ IP or privacy rights;
- Upload malicious code or attempt to gain unauthorized access;
- Scrape, spider, or harvest data (except as allowed by standard search engine protocols);
- Misrepresent your identity or affiliation;
- Engage in abusive, harassing, discriminatory, or fraudulent activity.
We may suspend or terminate access for violations.
13. Marketing Communications; SMS; Email
If you opt in to receive marketing (including SMS/MMS or email), you consent to receive recurring messages from us at the contact information you provide. Message and data rates may apply. Consent is not a condition of purchase. You can unsubscribe from emails via the link in the message, and you can opt out of SMS by replying STOP (or as otherwise instructed). 14. Privacy
Your use of the Site is subject to our Privacy Policy, which explains how we collect, use, and share personal information.
15. DMCA Notice (Copyright Complaints)
If you believe material on the Site infringes your copyright, please send a notice to info@thebaseballclub.net with: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and (f) your physical or electronic signature.
16. Disclaimer of Warranties
We strive to maintain a reliable and secure online experience, but you understand and agree that your use of our Site, products, and services is entirely at your own risk.
While we aim to keep our Site operational at all times, All Athletes Club makes no guarantees, representations, or warranties that your access or use will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. We do not warrant that the information provided on the Site is accurate, complete, or up to date, or that any defects or errors will be corrected.
From time to time, we may suspend, modify, or remove access to the Site, to any products or services, without notice for maintenance, upgrades, or operational reasons. You agree that we will not be liable for any interruption, modification, suspension, or discontinuance of the Site or services.
Except where explicitly stated in writing by All Athletes Club, the Site and all products, content, and services are provided “as is” and “as available.” To the fullest extent permitted by law, All Athletes Club expressly disclaims all warranties of any kind, whether express or implied, including but not limited to:
· Implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement;
· Warranties arising from course of dealing, usage, or trade practice; and
· Any warranty that products, digital content, or services will meet your expectations or deliver specific results.
You assume full responsibility for any damage to your computer system, data loss, or other harm that results from your access to or use of the Site or any downloaded materials.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above limitations may not apply to you. In such cases, our warranties are limited to the maximum extent permitted by applicable law.
17. Limitation of Liability
To the fullest extent permitted by law, All Athletes Club, its parent company, affiliates, officers, directors, employees, agents, representatives, contractors, suppliers, service providers, lawyers, and licensors (collectively, the “Released Parties”) shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to, loss of profits, revenue, data, goodwill, business opportunities, savings, replacement costs, or other intangible losses, arising out of or relating to:
· Your access to or use of (or inability to access or use) the Site, products, or services;
· Any conduct or content of any third party on or related to the Site;
· Any unauthorized access to or alteration of your transmissions or data;
· Any reliance placed on information or materials made available through the Site; or
· Any other claim related in any way to your use of the Site, products, or services, even if we have been advised of the possibility of such damages.
In no event shall the total liability of All Athletes Club and the Released Parties, whether in contract, tort (including, but not limited to, negligence), strict liability, or otherwise, exceed the greater of (a) the total amount paid by you for the product or service giving rise to the claim, or (b) one hundred dollars ($100.00 USD). This limitation applies even if any remedy fails of its essential purpose.
You agree that the exclusions and limitations in this section are fundamental elements of these Terms and reflect a fair allocation of risk between you and All Athletes Club. Without these limitations, the products and services would not be offered on the same terms or at the same price.
Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers may not apply, and in such cases, our liability will be limited to the maximum extent permitted by applicable law.
18. Indemnification
You agree to indemnify, defend, and hold harmless All Athletes Club, its parent company, affiliates, officers, directors, employees, agents, representatives, contractors, licensors, suppliers, lawyers, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, costs, and expenses (including, but not limited to, reasonable attorneys’ fees) arising out of or related to:
- Your access to or use of the Site, products, or services;
- Your breach or alleged breach of these Terms or any incorporated policy;
- Your violation of any law, regulation, or third-party right (including intellectual property, privacy, or publicity rights); or
- Any content, data, or materials you submit, post, or transmit through the Site.
You agree to cooperate fully in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification, and in such cases, you agree not to settle any claim without our prior written consent.
This indemnity obligation will survive the termination of these Terms and your use of the Site, products, or services.
19. Dispute Resolution; Arbitration
Please read this section carefully as it affects your legal rights. By using this Site or purchasing from All Athletes Club and/or The Baseball Club, you agree to the following dispute resolution terms.
A. Informal Resolution
Before initiating any formal dispute, you agree to first contact us at info@thebaseballclub.net and provide a written description of the issue, along with any relevant details. Both parties agree to make a good-faith effort to resolve the dispute informally within 30 days, unless otherwise extended by written agreement.
B. Binding Arbitration
If a resolution cannot be reached informally, and except as otherwise expressly provided in the “Small Claims Exception” below, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any products or services offered by All Athletes Club (collectively, a “Dispute”) shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, as modified by this section.
· The arbitration will be conducted by a single, neutral arbitrator in Miami-Dade County, Florida, unless both parties agree to a virtual hearing or an alternative location.
· The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration provision.
· The arbitrator has exclusive authority to resolve all issues of arbitrability, including without limitation, the scope and enforceability of this clause.
· Judgment on the arbitration award may be entered in any court having jurisdiction.
C. Small Claims Exception
Notwithstanding the agreement to arbitrate, either you or All Athletes Club may bring an individual claim in small claims court located in Miami-Dade County, Florida, if the claim is within that court’s jurisdiction and remains on an individual (non-class) basis.
D. Injunctive or Equitable Relief
Notwithstanding the foregoing, either party may seek temporary or permanent injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
E. Jury Trial Waiver
To the extent any dispute between you and All Athletes Club proceeds in court rather than arbitration, including without limitation, small claims matters or requests for injunctive or equitable relief, both parties knowingly and voluntarily waive any right to a trial by jury to the fullest extent permitted by law.
F. Opt-Out Right
If you do not wish to be bound by this arbitration provision, you may opt out by sending written notice to info@thebaseballclub.net within 30 days of your first purchase or use of the Site. Your opt-out notice must include your name, address, and a clear statement that you decline this arbitration agreement.
G. Governing Law
This arbitration agreement is governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Florida, without regard to conflict-of-laws principles.
20. Governing Law; Venue; Attorneys’ Fees
These Terms, and any dispute, claim, or controversy arising out of or relating to them, the Site, or any products or services provided by All Athletes Club, shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles or rules that would cause the laws of another jurisdiction to apply.
Subject to the Dispute Resolution and Arbitration provisions above, any action permitted to proceed in court shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. You expressly consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or improper venue.
In any action, arbitration, or proceeding brought to enforce or interpret these Terms, or arising out of or relating to them, the Site, or any products or services provided by All Athletes Club, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs, including but not limited to, those incurred in any appeals, post-judgment collection efforts, or proceedings to determine entitlement to or the amount of such fees, in addition to any other relief available under Florida law.
21. Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, supply chain disruptions, carrier delays, internet or utility outages, or governmental actions.
22. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any conduct we believe violates these Terms or is otherwise harmful. Sections that by their nature should survive termination shall survive (including IP, User Content license, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law).
23. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in a merger, acquisition, or sale of assets.
24. Severability; Waiver; Entire Agreement
The failure of All Athletes Club to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision, nor shall any single or partial exercise of any right preclude any other or further exercise of it. Any waiver must be in writing and signed by an authorized representative of All Athletes Club to be effective.
These Terms, together with any policies or additional terms referenced herein or posted on the Site (including our Privacy Policy and Refund & Return Policy), constitute the entire agreement and understanding between you and All Athletes Club regarding your access to and use of the Site, products, and services, and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the fullest extent permissible, and the remaining provisions shall continue in full force and effect.
Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party, and the headings used herein are for convenience only and do not affect the meaning or interpretation of the Terms.
